In the event that any provision contained in these Terms of Use is held by a court of competent jurisdiction to be contrary to any law, the remaining provisions of these Terms of Use will remain in full force and effect. No joint venture, partnership, employment, or agency relationship exists between you and Marffil as a result of these Terms of Use or your use of the Website.

Waiver: The waiver by Marffil of one breach or default under these Terms of Use shall not constitute the waiver of any subsequent or other breach or default. Further, failure or neglect by either party to exercise or enforce any right conferred shall not be deemed to be a waiver of any such right nor operate so as to bar that exercise or enforcement thereof or of any other or same right on any later occasion.

Entire Agreement: These Terms of Use, together with return/refund policy, privacy policy, substitution policy, and other rules and policies posted on the Website, which are hereby incorporated as if set forth fully in these Terms of Use, constitute the entire agreement between you and Marffil with respect to your use of material available on the Website, and supersedes all prior or contemporaneous communications and proposals between you and Marffil with respect to this Website. No Assignment: These Terms of Use shall be personal to every user and you shall not assign, transfer, sublet, lease or delegate all or any of your rights and obligations, without Marffil’s prior written consent. Force Majeure: Marffil will not be held responsible for any delay or failure to comply with their obligations under the Terms of Use/Terms and Conditions, if the delay or failure arises from any cause which is out of their reasonable control. Such events may include any act of god, fire, casualty, flood, earthquake, war, strike, lockout, epidemic, pandemic, destruction of production facilities, riot, insurrection, material unavailability, change in policy, change of law, orders or judgment beyond reasonable control etc.

Governing Law and Dispute Resolution: The Terms of Use shall be governed by and construed in accordance with the laws of India. Any and all disputes arising from the Terms of Use will be subject to arbitration to be conducted by an independent sole arbitrator. Either party can approach the Court having the competent jurisdiction for the appointment of the arbitrator. The arbitration shall be conducted in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration shall be at New Delhi and the arbitration proceedings shall be conducted in English language. Subject to arbitration, the jurisdictional courts of New Delhi shall be entitled to grant interim relief/injunction.

Losses: Marffil will not be responsible for any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure) or any other indirect or consequential loss that is not reasonably foreseeable by either you or us when you commenced using the Website.

Up-dations/Modifications: You agree to be bound by these Terms of Use, which may be updated or modified from time to time without any notice to you. Any changes or modifications become part of these Terms of Use and shall apply immediately. By continuing to use this Website after such modifications or changes to the Terms and Conditions, you shall be deemed to give your acceptance of such modifications or changes.
